CONFIDENTIALITY TERMS / NDA
The “CD14” project is based on the principles of confidentiality, trust, and protection of intellectual property.
In the process of deciphering the secret or acquiring the artwork, access to confidential information implies confidentiality obligations established between the parties.
1. CONFIDENTIALITY AGREEMENT
In the event that the Decoder or the Buyer receives the sealed envelope related to “CD14” and its contents, a bilateral confidentiality agreement (NDA) is concluded between the parties.
2. PROTECTION OF CONFIDENTIAL INFORMATION
The content of the secret is intended for limited access and must not be published, reproduced, or transferred to third parties without the artist’s appropriate written permission.
In case of breach of the confidentiality obligation, the legal remedies and liability defined in the NDA signed between the parties shall apply.
3. LIABILITY
The NDA concluded between the parties provides for contractual liability in the event of unauthorized publication or transfer of confidential information, including the contractually stipulated penalty of 6,800,000 AMD, if that provision is applicable to the given transaction and the parties.
4. INTELLECTUAL PROPERTY
The visual identity of “CD14”, the concept, the encoding system, and the creative materials related to the project remain the intellectual property of the artist Arno Karoni, within the limits of applicable copyright law.
Access to the secret in itself does not mean that the rights to publish, reproduce, or commercially use it are transferred.
Keeping the secret is an integral part of the “CD14” experience.
